This Restaurants Online Ordering Agreement (the “Agreement”) governs your use, as a restaurant partner (“you”, “Restaurant” or “Partner”), of the commission-free online ordering and table-reservation system provided by Bontado (“us”, “we” or “our”). By creating an account, installing your ordering button, or accepting orders through your Bontado-powered ordering system, you agree to be bound by this Agreement.

1. ACCEPTANCE OF THE AGREEMENT

By clicking to accept this Agreement, completing registration, or accepting any order placed through your ordering system, you confirm that you have read and agree to this Agreement. The person accepting it represents that they are authorized to bind the Restaurant and its legal entity.

2. THE ONLINE ORDERING SERVICE

Bontado provides a technology system that lets you take orders and reservations directly from your diners. You can add an ordering button (widget) to your existing website or Facebook page, or use a free Bontado-generated restaurant website. Diners place orders on your own branded ordering page. Bontado is a technology provider and does not operate a marketplace: it is not the seller of your food, and you keep full ownership of your menu, your prices, your brand, and your relationship with your diners.

3. RESTAURANT RESPONSIBILITIES

You agree to: keep your menu, prices, item availability, ordering methods, and opening hours accurate and up to date; ensure all food is prepared, packaged, and handled in accordance with applicable food-safety and hygiene laws; hold and maintain all licenses, registrations, and permits required to operate your business; prepare accepted orders within the time you communicate to your diners; and honour the prices shown to the diner at the time the order is placed.

4. ORDERS AND FULFILMENT

When a diner places an order or reservation, it appears in your dashboard for acceptance. Once you accept an order, you are responsible for fulfilling it. Bontado does not provide delivery: you fulfil orders yourself, either through pickup at your location or through your own delivery staff within the delivery areas you define. You may reject an order only for legitimate reasons, such as an item being unavailable or your restaurant being closed, and should do so promptly.

5. PRICING, PAYMENTS, AND FEES

Bontado's online ordering is commission-free — we do not take a cut of your order revenue. For orders paid online, you connect your own payment gateway and your diners' payments go directly to you; Bontado does not hold your funds. Cash and pay-at-store orders are settled directly between you and your diner. Optional premium features are available through a paid subscription plan, the price of which is shown to you before you subscribe.

6. TAXES

You are responsible for determining, charging, collecting, reporting, and remitting all taxes applicable to the sale of your items, and for the accuracy of the tax settings and item information you configure in your dashboard.

7. YOUR DINERS AND THEIR DATA

The diners who order through your ordering system are your customers. You own the relationship with them and are the controller of their data, while Bontado processes it on your behalf to operate your ordering system. You are responsible for providing your diners with your own terms and privacy notice and for handling their orders, refunds, and complaints.

8. SUSPENSION AND TERMINATION

Bontado may suspend or deactivate your account, in whole or in part, if you breach this Agreement, misuse the system, receive persistent quality or safety complaints, or violate applicable law. You may stop using the service or request closure of your account at any time, subject to the completion of any orders already in progress and the settlement of any outstanding subscription amounts.

9. LIABILITY

You are solely responsible for the quality, safety, and accuracy of the food and items you sell and for fulfilling your orders. To the maximum extent permitted by law, Bontado is not liable for the food you prepare or for any loss arising from your acts or omissions as the seller. Bontado's liability is limited to providing the online ordering technology and related services described in this Agreement.

10. CHANGES TO THIS AGREEMENT

We may update this Agreement from time to time. When we make material changes, we will notify you through your dashboard or by email. Your continued use of the service after the changes take effect constitutes your acceptance of the updated Agreement.
